These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Forge Development Studio LLC ("Forge," "we," "us," or "our"), including Forge Voice and any custom-built software Forge ships under a Statement of Work (collectively, the "Services"). By creating an account, subscribing, or otherwise using any Service, you ("Customer," "you") agree to these Terms.
1. Acceptance of terms
By accessing or using any Service, you confirm that you have read and agree to these Terms, our Privacy Policy, and any product-specific agreement or order form you sign with us. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
2. Services description
Forge builds and operates:
- Forge Voice: an AI receptionist for local service businesses. It is built to answer your calls, take the caller's details, take appointment requests that your team confirms, and transfer urgent calls to you. It records and transcribes the calls it answers. It answers in English and Spanish. On the Scale plan we can set up Jobber sync on request.
- Forge Custom Software: bespoke web applications, internal tools, integrations, and AI agents built under a written Statement of Work.
- Forge Enterprise: multi-location, compliance, and custom deployments of Forge Voice for operators that need more than the standard subscription.
Specific scope, service levels, and fees for custom engagements (software development, integration, or consulting) are defined in a separate Statement of Work ("SOW") or order form, which is incorporated into these Terms. If any SOW conflicts with these Terms, the SOW controls for that engagement.
3. Accounts and account security
You must provide accurate information when creating an account and keep it current. You are responsible for all activity that occurs under your account, for safeguarding passwords and API keys, and for immediately notifying us of any suspected unauthorized access at security@forgedev.studio.
You must be at least 18 years old, or the age of majority where you live, to use the Services. You may not share login credentials, and you may not use the Services in a way that circumvents seat, tenant, or usage limits in your plan.
4. Acceptable use
You agree not to, and not to permit others to:
- Use the Services for anything illegal, fraudulent, or that infringes the rights of others.
- Send unlawful, harassing, defamatory, or deceptive communications through Forge Voice or any messaging feature, or violate telecom, CAN-SPAM, TCPA, 10DLC, GDPR, or similar laws.
- Upload malware, attempt to breach security, probe or scan vulnerabilities, or interfere with the Services or other customers' use.
- Reverse engineer, decompile, or attempt to extract source code from closed-source Services (open-source components are governed by their own licenses).
- Use the Services to train competing AI systems or build a competing platform.
- Resell, sublicense, or provide the Services to third parties except as permitted by a written partner or reseller agreement.
Forge Voice rules. You also agree that:
- Forge Voice answers calls made to your business. You will not use it to place calls or send messages to people who did not contact you.
- You will not use it to give medical, legal or financial advice, or to collect debts.
- You will follow the ElevenLabs Terms of Service and Prohibited Use Policy, as updated from time to time. Their restrictions, obligations and prohibitions apply to your use of Forge Voice as if written here.
- You will not tell your agent to claim it is a person, to say a call is not recorded, or to state a licence, insurance, guarantee or price that is not true.
- You will not ask callers for card numbers, bank details or Social Security numbers through your agent.
Who cannot use Forge Voice. We do not provide Forge Voice to dental, medical or other healthcare practices, or to government offices. We also do not provide it to: debt collection and repossession; payday, title and pawn lending; gambling; cannabis, vape, tobacco and liquor sellers, online pharmacies, supplement and medical device sellers; adult services; political campaigns. Healthcare practice means any business that treats patients or handles patient health records. If we learn a business is on this list, we may end its plan at once. We refund the unused part of the month it paid for.
We may suspend or terminate accounts that violate this section, with or without notice, and cooperate with law enforcement when required.
5. Intellectual property
5.1 Forge IP
Forge and its licensors retain all rights, title, and interest in the Services, including the underlying software, models, trained weights, infrastructure, documentation, trademarks, and any improvements to them. Nothing in these Terms transfers ownership of Forge's pre-existing IP, tools, frameworks, or general know-how.
5.2 Customer content
You retain ownership of data, prompts, audio, call transcripts, documents, and other content you submit to the Services ("Customer Content"). You grant Forge a limited, worldwide, royalty-free license to host, process, transmit, and display Customer Content solely to provide, support, secure and bill for the Services, to enforce these Terms, and to comply with law. Our providers process it to provide the Services, under their own terms (see Section 6A, Providers). We do not sell Customer Content, and we do not use identifiable Customer Content to train shared foundation models without your written consent.
5.3 Work product under an SOW
For custom development engagements, deliverables identified as "work product" in a signed SOW are assigned to the Customer upon full payment of all related invoices. Forge retains all pre-existing materials, general tools, and any methodologies or reusable components it brings to or develops during the engagement, and grants the Customer a perpetual, non-exclusive, worldwide license to use those components as embedded in the work product.
5.4 Open-source components
Forge Agent and certain other components are distributed under open-source licenses identified in their repositories. Those components are governed by their respective open-source licenses, not by these Terms, and nothing here limits your rights under those licenses.
5.5 Feedback
If you send us feedback, ideas, or suggestions, you grant Forge a perpetual, irrevocable, royalty-free right to use them without restriction or obligation.
6. Payments, refunds, and chargebacks
Fees are stated in your order form, plan, or SOW. Unless otherwise specified, subscriptions are billed monthly in advance and one-time fees are due on invoice. You authorize Forge (or its payment processor, Stripe) to charge your payment method for all fees, including taxes.
Fees are not refundable, except as Section 6A, a signed order form, or an SOW says, or as the law requires. If you cancel a monthly subscription, you retain access through the end of the current billing period, unless you choose Cancel now under Section 6A; we do not prorate.
Amounts unpaid 30 days after they are due accrue interest at 1.5% a month. Past-due balances may result in suspension of the Services. If you dispute a charge in good faith, contact billing@forgedev.studio before initiating a chargeback. Chargebacks filed without first contacting us may be treated as a breach of these Terms, and Forge reserves the right to recover the disputed amount plus a $25 administrative fee, suspend the account, and pursue collection.
6A. Forge Voice plans, free trial, renewal and cancellation
Plans and price. Forge Voice is a month to month plan. Starter is $297 a month with 500 minutes. Pro is $497 a month with 1,000 minutes. Scale is $897 a month with 2,500 minutes. You pay the price shown when you sign up.
How we count minutes. We count the time your agent is on each call. Each call counts as at least 1 minute. We round each call up to the next full minute. Unused minutes do not carry over to the next month.
Extra minutes. Your agent keeps answering after your plan's minutes run out. Extra minutes cost $0.25 each on Starter and Pro, and $0.20 each on Scale. We add them to your next monthly bill. If your plan ends, we bill any unbilled extra minutes on a final bill.
Free trial. A new business can start one 7 day free trial. It includes up to 100 minutes of answered calls. You must add a card or bank account to start. We do not charge it during the trial. If you cancel before the trial ends, you pay nothing. Calls past 100 minutes in your trial are still answered, and we never bill for trial minutes. If you keep your plan, your first charge is your plan price, with no charge for trial minutes. If trial use is far above normal for a business your size, we may pause the trial line and tell you why.
Automatic renewal. If you do not cancel, your paid plan starts when the trial ends. We charge your plan price that day. We charge it again on the same date each month until you cancel. By starting a trial or plan, you agree to these charges.
Reminders. We email you when your trial starts and again about 3 days before it ends. Each email shows the charge date, the amount, and a link to cancel.
How to cancel. You can cancel at any time. Cancel online in your account at forgedev.studio/customer/portal. Or email billing@forgedev.studio from the email on your account. We confirm every cancellation by email.
When canceling takes effect. When you cancel in your account you choose when it takes effect. Cancel now: your agent stops answering today. You get no refund for the rest of the month you paid for. Cancel at the end: your agent keeps answering until your trial ends or the month you paid for ends. If you cancel by email or by the link in our emails, we use Cancel at the end. Either way we do not charge your plan price again. If you used extra minutes we have not billed yet, we bill them once on a final bill. If you cancel during the trial, you pay nothing. Turn off call forwarding before your agent stops. If you do not, your callers reach a line that does not answer.
Failed payments. If a payment fails, we email you and try again over the next days. Your agent keeps answering while we retry. If it still fails, we may end your plan and stop your agent. You still owe any unpaid bill and any extra minutes.
Price changes. We will email you at least 30 days before your price goes up. You can cancel before the new price starts.
Call recording and AI. Your agent tells every caller it is an AI assistant and the call is recorded. You may not remove that notice. We and our providers record and transcribe calls, including calls the agent transfers to you or your staff. You agree to this and will tell your staff. You chose to use an AI agent that records calls. You are responsible for any extra notice or consent that the law requires, including the law where your callers are. You are responsible for the facts, hours and prices you give your agent or confirm for it.
Phone numbers. If you forward your own number to us, it stays yours. If we give you a new number, we rent it for you from our phone provider. You can move it to another provider while your plan is active or within 90 days after it ends. Tell us and we will approve the move. We do not charge for this. After 90 days we may release the number. Once released, we cannot get it back.
Pausing a line. We may pause your line if you break these Terms or if a law or court order requires it. We may also pause it if one of our providers requires it, or to protect callers or the service. Section 7 covers ending a plan. While your line is paused, callers hear a short automated message and the call ends. Paused calls are not recorded or billed. We email you the reason and what to do. We lift the pause when the cause is fixed. Your plan price still applies while the line is paused for something you did. If we pause for a reason that is not your doing, we credit the days your line was paused.
Your calls and your data. You can see your calls, recordings and transcripts in your account. You can download a copy at any time. We keep them while your plan is active, and recordings and transcripts for up to 24 months. We keep them for 90 days after your plan ends. Then we delete them. After your plan ends you can ask us in your account to delete everything sooner. We may keep data longer if a law or an open dispute requires it. We keep billing records and your signed order form for 7 years.
Providers. Forge Voice runs on services from ElevenLabs (voice and conversation), Twilio (phone numbers and calls), Anthropic (the language model) and Stripe (payments). You grant ElevenLabs and its affiliates and subcontractors a non-exclusive right to process and use your data to provide and support their services. Your data means anything you or your callers put into Forge Voice and anything it produces for you. You grant our other providers the right to process your data to provide the service. ElevenLabs is a third-party beneficiary of these Terms and may enforce them, including the Forge Voice rules in Section 4. Forge is not an agent or partner of ElevenLabs and is not in a joint venture with it. You will not say or suggest that you are.
7. Cancellation and termination
You may cancel at any time. See Section 6A for Forge Voice. For other plans, cancel in your account or email billing@forgedev.studio. Canceling takes effect at the end of the period you paid for.
Forge may suspend or terminate the Services (a) immediately for breach of these Terms, non-payment beyond a 15-day grace window, or unlawful use, or (b) for convenience on 30 days' written notice. For Forge Voice, Section 6A says what happens when a payment fails. Upon termination, your right to use the Services ends. You can download your Customer Content in your account for 90 days after your plan ends. After that we delete it, except what a law or an open dispute requires us to keep.
8. Warranties and disclaimers
Forge will provide the Services with reasonable skill and care. Except as expressly stated in a signed enterprise SLA, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Forge does not warrant any specific uptime outside the service-level terms of an individual enterprise contract. AI-generated output may be inaccurate; you are responsible for reviewing outputs before relying on them for business decisions.
We work to answer every call sent to your agent. Outages at our phone, voice or AI providers can stop calls from being answered. We promise no uptime unless a signed contract says so.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or cost of substitute services, even if advised of the possibility.
Forge's total cumulative liability arising out of or related to these Terms or the Services is capped at the total fees you paid to Forge for the Service giving rise to the claim in the 12 months preceding the event. This cap does not apply to your payment obligations, your indemnification obligations, or liability that cannot be limited under applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Forge, its affiliates, and their officers, employees, and contractors from any third-party claim arising out of (a) your use of the Services in violation of these Terms or law, (b) Customer Content, (c) your breach of a representation you made, or (d) your infringement of a third party's rights. Forge will promptly notify you of any such claim, give you reasonable control of its defense, and provide reasonable cooperation at your expense.
Forge will defend you against any third-party claim that the Services, used as permitted, infringe that party's US intellectual property rights, and will pay resulting damages finally awarded or agreed in settlement, subject to the liability cap in Section 9.
11. Dispute resolution
The parties will first attempt to resolve any dispute informally by contacting legal@forgedev.studio. If not resolved within 30 days, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Fulton County, Georgia, in English. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. Disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, or representative action against the other. If this waiver is found unenforceable, the entire arbitration clause is void and the dispute will be resolved in the courts specified in Section 12.
Nothing in this section prevents either party from seeking injunctive or equitable relief in court for misuse of intellectual property or confidential information.
12. Governing law and venue
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 11, the parties submit to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia for any action not subject to arbitration.
13. Changes to these terms
Forge may update these Terms from time to time. Material changes will be posted on this page with a new effective date, and for active customers will be communicated by email or in-app notice at least 15 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, your sole remedy is to cancel.
14. Miscellaneous
- Entire agreement. These Terms, together with any SOW, order form, or product-specific agreement, are the entire agreement between the parties and supersede prior discussions.
- Assignment. You may not assign these Terms without Forge's prior written consent. Forge may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- Waiver. Failure to enforce any right is not a waiver of that right.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices. Notices to Forge must be sent to legal@forgedev.studio. Notices to Customer may be sent to the email on the account.
15. AI voice and SMS consent
We only call you with an AI voice if you agreed on a form. Our SMS Policy lists every kind of text we send and how you agree to it. Reply STOP to stop texts.
