Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Forge Development Studio LLC ("Forge," "we," "us," or "our"), including Forge Voice and any custom-built software Forge ships under a Statement of Work (collectively, the "Services"). By creating an account, subscribing, or otherwise using any Service, you ("Customer," "you") agree to these Terms.

1. Acceptance of terms

By accessing or using any Service, you confirm that you have read and agree to these Terms, our Privacy Policy, and any product-specific agreement or order form you sign with us. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.

2. Services description

Forge builds and operates:

Specific scope, service levels, and fees for custom engagements (software development, integration, or consulting) are defined in a separate Statement of Work ("SOW") or order form, which is incorporated into these Terms. If any SOW conflicts with these Terms, the SOW controls for that engagement.

3. Accounts and account security

You must provide accurate information when creating an account and keep it current. You are responsible for all activity that occurs under your account, for safeguarding passwords and API keys, and for immediately notifying us of any suspected unauthorized access at security@forgedev.studio.

You must be at least 18 years old, or the age of majority where you live, to use the Services. You may not share login credentials, and you may not use the Services in a way that circumvents seat, tenant, or usage limits in your plan.

We may suspend or terminate accounts that violate this section, with or without notice, and cooperate with law enforcement when required.

5. Intellectual property

5.1 Forge IP

Forge and its licensors retain all rights, title, and interest in the Services, including the underlying software, models, trained weights, infrastructure, documentation, trademarks, and any improvements to them. Nothing in these Terms transfers ownership of Forge's pre-existing IP, tools, frameworks, or general know-how.

5.2 Customer content

You retain ownership of data, prompts, audio, call transcripts, documents, and other content you submit to the Services ("Customer Content"). You grant Forge a limited, worldwide, royalty-free license to host, process, transmit, and display Customer Content solely to operate and improve the Services for you and to comply with law. We do not sell Customer Content, and we do not use identifiable Customer Content to train shared foundation models without your written consent.

5.3 Work product under an SOW

For custom development engagements, deliverables identified as "work product" in a signed SOW are assigned to the Customer upon full payment of all related invoices. Forge retains all pre-existing materials, general tools, and any methodologies or reusable components it brings to or develops during the engagement, and grants the Customer a perpetual, non-exclusive, worldwide license to use those components as embedded in the work product.

5.4 Open-source components

Forge Agent and certain other components are distributed under open-source licenses identified in their repositories. Those components are governed by their respective open-source licenses, not by these Terms, and nothing here limits your rights under those licenses.

5.5 Feedback

If you send us feedback, ideas, or suggestions, you grant Forge a perpetual, irrevocable, royalty-free right to use them without restriction or obligation.

6. Payments, refunds, and chargebacks

Fees are stated in your order form, plan, or SOW. Unless otherwise specified, subscriptions are billed monthly in advance and one-time fees are due on invoice. You authorize Forge (or its payment processor, Stripe) to charge your payment method for all fees, including taxes.

All fees are non-refundable except where required by law or explicitly stated in an SOW. If you cancel a monthly subscription, you retain access through the end of the current billing period; we do not prorate. For annual prepaid plans, unused full months may be refunded at Forge's discretion if cancellation is for documented cause.

Past-due balances accrue interest at 1.5% per month (or the maximum allowed by law, whichever is lower) and may result in suspension of the Services. If you dispute a charge in good faith, contact billing@forgedev.studio before initiating a chargeback. Chargebacks filed without first contacting us may be treated as a breach of these Terms, and Forge reserves the right to recover the disputed amount plus a $25 administrative fee, suspend the account, and pursue collection.

7. Cancellation and termination

You may cancel a subscription at any time in the account dashboard or by emailing billing@forgedev.studio. Cancellation takes effect at the end of the current billing period.

Forge may suspend or terminate the Services (a) immediately for breach of these Terms, non-payment beyond a 15-day grace window, or unlawful use, or (b) for convenience on 30 days' written notice. Upon termination, your right to use the Services ends. We will make Customer Content available for export for 30 days after termination; after that, we may delete it, subject to legal retention obligations.

8. Warranties and disclaimers

Forge will provide the Services with reasonable skill and care. Except as expressly stated in a signed enterprise SLA, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Forge does not warrant any specific uptime outside the service-level terms of an individual enterprise contract. AI-generated output may be inaccurate; you are responsible for reviewing outputs before relying on them for business decisions.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or cost of substitute services, even if advised of the possibility.

Forge's total cumulative liability arising out of or related to these Terms or the Services is capped at the total fees you paid to Forge for the Service giving rise to the claim in the 12 months preceding the event. This cap does not apply to your payment obligations, your indemnification obligations, or liability that cannot be limited under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Forge, its affiliates, and their officers, employees, and contractors from any third-party claim arising out of (a) your use of the Services in violation of these Terms or law, (b) Customer Content, (c) your breach of a representation you made, or (d) your infringement of a third party's rights. Forge will promptly notify you of any such claim, give you reasonable control of its defense, and provide reasonable cooperation at your expense.

Forge will defend you against any third-party claim that the Services, used as permitted, infringe that party's US intellectual property rights, and will pay resulting damages finally awarded or agreed in settlement, subject to the liability cap in Section 9.

11. Dispute resolution

The parties will first attempt to resolve any dispute informally by contacting legal@forgedev.studio. If not resolved within 30 days, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Fulton County, Georgia, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. Disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, or representative action against the other. If this waiver is found unenforceable, the entire arbitration clause is void and the dispute will be resolved in the courts specified in Section 12.

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for misuse of intellectual property or confidential information.

12. Governing law and venue

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 11, the parties submit to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia for any action not subject to arbitration.

13. Changes to these terms

Forge may update these Terms from time to time. Material changes will be posted on this page with a new effective date, and for active customers will be communicated by email or in-app notice at least 15 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, your sole remedy is to cancel.

AI Voice and SMS Consent. By submitting any form on this site, including the voice widget intake, you consent to receive AI-powered voice calls and SMS messages from Forge Dev.studio in connection with your inquiry. Calls may be placed using automated technology (artificial or pre-recorded voice). SMS frequency varies by inquiry. Standard message and data rates may apply. You can revoke consent at any time by replying STOP to any text message or by emailing support@forgedev.studio.

The consent checkbox in the voice widget intake form records your agreement to these terms. Checking that box constitutes your express written consent under the Telephone Consumer Protection Act (TCPA) for Forge to contact you using the phone number and email provided.
