These are the terms that govern your participation in the Forge Partner Program, operated by Forge Development Studio LLC ("Forge," "we," "us"). By submitting a partner application, you ("Partner," "you") agree to these terms.
You are an independent contractor, not an employee, agent, or franchisee of Forge. You have no authority to bind Forge, represent Forge as anything other than a Partner, or quote prices or commitments outside the published pricing on forgedev.studio. This is a 1099 relationship for US partners.
Partners are paid 50% of the partner commission pool on each customer they directly refer, where the pool equals 50% of Forge's net profit on that customer. Net profit equals the monthly retainer minus platform infrastructure cost (voice AI minutes, telephony, LLM, hosting).
If a Partner refers another Partner who then refers a customer, the upline Partner earns a cascading share of the partner pool on that customer: 50% of what the level below earns at each level, halving geometrically, with no maximum depth. The total partner pool never exceeds 50% of net profit (Forge always retains 50%).
Commission continues for the full lifetime that the referred customer remains an active Forge subscriber. When the customer churns, cancels, or is suspended for non-payment beyond the grace window, commission ends.
Partners may not refer themselves, related entities, or accounts they control. Forge reserves the right to withhold commission on any conversion flagged as self-referral.
Payouts run monthly on the 5th of each month for commission accrued in the prior month, via ACH (US partners) or Stripe Connect (international). The minimum payout threshold is $100 accrued; balances below roll to the next cycle.
It is the Partner's responsibility to keep payout information current in the partner dashboard. Forge is not liable for payouts sent to information the Partner has not updated.
Attribution is tracked via first-party cookie and localStorage with a 90-day window. When a prospect clicks a Partner's referral link, subsequent sign-ups by that prospect within 90 days are attributed to the Partner. Stripe-metadata-based attribution also applies for signups where the ref code travels with the checkout session.
Attribution disputes are decided by Forge in good faith based on the available tracking data. In cases of multi-partner attribution, the last Partner whose link was clicked wins the credit unless fraud is detected.
Partners may promote Forge Voice using the assets provided in the partner vault, their own original content referencing Forge's public pricing, and any direct outreach to their network. Partners may not:
The partner asset vault (pitch deck, email templates, landing page template, banner kit, call script, social kit, playbook) is licensed for use in your promotion of Forge Voice only. You may customize the co-branded landing template with your logo and contact information. You may not redistribute, resell, or use these assets for other products or services.
Pricing, commission structure, internal infrastructure cost, partner dashboard metrics, lead pool contact information, and any non-public data shared through the program are confidential. You may not disclose these to non-Partners except as necessary to close a referred sale.
Leads in the pool are sourced by Forge and offered to active partners on a first-claim basis, subject to a maximum of 3 active claims at a time per Partner. Claimed leads auto-release to the pool if not closed within 7 days. Contact information in claimed leads may only be used to pursue the specific sale on Forge's behalf; it may not be added to your own mailing lists, resold, or used outside this program.
Either party may terminate this agreement at any time, with or without cause, by written notice (email suffices). Upon termination:
Forge may immediately terminate and withhold pending commission for violations including: self-referral fraud, spam/abuse violations, misrepresentation of the product, or disparagement.
Forge may update these terms periodically. Material changes to commission structure or payout terms apply only to conversions signed on or after the change's effective date; existing conversions are grandfathered under the terms in effect when the conversion occurred.
Forge's total liability to any Partner for any claim arising from this agreement is capped at the total commission paid to that Partner in the 12 months preceding the claim. Forge is not liable for indirect, incidental, consequential, or lost-profit damages.
You indemnify Forge against claims arising from your promotional activity, including any representation you make to a prospect outside of published Forge materials.
This agreement is governed by the laws of the State of Georgia, United States. Disputes will be resolved in the state or federal courts located in Fulton County, Georgia.
